Item 8.01      Other Events

On July 13, 2008, the board of directors of Spectrum Brands, Inc. (the " Company ") voted to approve additional purchases of Company stock by Harbinger Capital Partners Master Fund I, Ltd. (the " Master Fund ") and Harbinger Capital Partners Special Situations Fund, L.P. (together with the Master Fund, " Harbinger ") for the purpose of exempting Harbinger from the business combination limitations on "interested stockholders" set forth in Sections 180.1140 through 180.1144 of the Wisconsin Business Corporation Law.
