                    Windsor PLC ("Windsor" or the "Company")

                             Settlement of dispute

The board of Windsor is pleased to announce that it reached agreement on a full
and final settlement of its dispute with the Kenya Ports Authority and Kenya
Ferry Services (together "KPA") in respect of business placed between 1994 -
1998. This agreement was reached after the close of business on 16 January 2004.
The amount payable by Windsor to KPA is US$ 2,725,500 (equivalent to
approximately #1,526,600, based on an exchange rate of #1:US$1.785). This amount
is payable within 42 days of the settlement date. The Company had provided for
an amount of #850,000 in its latest statutory accounts in respect of this
matter. The additional amount payable of approximately #676,600 will be met from
the Company's existing resources. The Company's own legal costs in connection
with this matter have been charged to the profit and loss account as the case
has progressed.
