RPS Repeatseat Ltd. (Tier2)

RepeatSeat Ltd. (TSX VENTURE:RPS) ("RepeatSeat" or the "Corporation") announces
that it has completed a Shares for Debt transaction by issuing 1,000,000 Common
Shares of the Corporation at a deemed price of $0.15 to settle outstanding debt
in the amount of $150,000. The Common Shares issued are subject to a four-month
hold period from the date of issuance.


The Shares for Debt settlement is to an Arm's Length Party and there will not be
a new Control Person as a result of the issuance of the shares for debt.
