Item 2.02		Results of Operations and Financial Condition.

On April 15, 2008, CNB Financial Services, Inc. (“the Company”) issued a press release, attached as Exhibit 99, announcing the Company’s first quarter 2008 earnings. Attached hereto and incorporated herein by reference is the revised statement of condition which revises the statement of condition contained therein to change the amounts under other assets from $696,671 to $618,482 and accrued expenses and other liabilities from $3,195,935 to $3,117,746. Furnished as Exhibit 99 and incorporated herein by reference is the revised press release issued by the Company announcing its first quarter 2008 earnings.
