Item 8.01   Other Events.

On June 3, 2008, the Board of Directors of EnerTeck Corporation (the “Company”) agreed that the temporary reduction in the warrant exercise price of all of the Company’s outstanding warrants by 40.0% previously approved and authorized by the Board of Directors shall be extended from June 2, 2008 until June 30, 2008 or such other later date as the proper officers of the Company shall hereinafter determine.

As a result, during the extended reduction period, the warrant exercise price of the warrants which were exercisable at $1.00 per share prior to the reduction shall be exercisable at $0.60 per share, the warrant exercise price of the warrants which were exercisable at $1.20 per share shall be exercisable at $0.72 per share, the warrant exercise price of the warrants which were exercisable at $2.00 per share shall be exercisable at $1.20 per share, and the warrant exercise price of the warrants which were exercisable at $3.40 per share shall exercisable at $2.04 per share.
