ITEM 2.02 - RESULTS OF OPERATIONS AND FINANCIAL CONDITION AND
ITEM 7.01 - REGULATION FD DISCLOSURE
On or about December 21, 2021, Granite Falls Energy, LLC (the “Company”) sent a letter to its members announcing its estimate of the income tax liability of members for its tax year ended December 31, 2021. A copy of this letter is furnished as Exhibit 99.1 to this report.
The information in Items 2.02 and 7.01 of this Current Report, including Exhibit 99.1, is being furnished and shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section. The information in this Current Report shall not be incorporated by reference into any registration statement or other document filed pursuant to the Securities Act of 1933, as amended, regardless of any general incorporation language contained in such filing.
ITEM 8.01 - OTHER EVENTS
On December 22, 2021, the Board of Governors of the Company declared a cash distribution of $330.00 per membership unit to the holders of record of the Company’s units at the close of business on December 22, 2021, for a total distribution of $10,099,980.00. The Company expects to pay the distribution by the end of January 2022, subject to approval from the Company’s lender.
