Effective July 31, 2017, Petrogress, Inc. (the “Company”) entered into a consulting agreement with Charles Stidham (the “Agreement”). The number of shares of common stock of the Company that are available for issuance under the Agreement is 10,000,000 shares of the Company’s Common Stock, $0.001 par value. This Registration Statement on Form S-8 is filed with the Securities and Exchange Commission (the “Commission”) for the purposes of registering the 10,000,000 shares of the Company’s Common Stock issuable under the Agreement.

 

The documents containing the information specified in Part I of Form S-8 will be sent or given to participants in the Agreement as specified by Rule 428(b)(1) under the Securities Act of 1933, as amended (the “Securities Act”).
