Description of
the Shares
The Fund issues common units of beneficial interest, or Shares, which
represent units of fractional undivided beneficial interest in and ownership of the Fund. The Shares are listed on the NYSE Arca under the symbol “DBC.”
The Shares may be purchased from the Fund or redeemed on a continuous basis, but only by Authorized
Participants and only in blocks of 100,000 Shares, or Creation Units. Individual Shares may not be
purchased from the Fund or redeemed. Shareholders that are not Authorized Participants may not purchase
from the Fund or redeem Shares or Creation Units.

The Fund is organized as a statutory trust under the Delaware Statutory Trust

The books and records of the Fund and Managing
Owner are available for inspection and copying (upon payment of reasonable reproduction costs) by Shareholders or their representatives for any purposes reasonably related to a Shareholder’s interest as a beneficial owner of such Shares during regular business hours
as provided in the Trust Agreement. The Managing Owner will maintain and preserve the books and records of the Fund for a period of not less than six years.
The Trustee
Wilmington Trust Company, a Delaware trust company, is the sole Trustee of the Fund. The Trustee’s
principal offices are located at Rodney Square North, 1100 North Market Street, Wilmington, Delaware
19890-0001. The Trustee is unaffiliated with the Managing Owner. The Trustee’s duties and liabilities with respect to the offering of the Shares and the management of the Fund are limited to its express obligations under the
Trust Agreement.
The rights and duties of the Trustee, the Managing Owner and the
Shareholders are governed by the provisions of the Delaware Statutory Trust Act and by the Trust Agreement.
The Trustee serves as the sole trustee of the Fund in the State of Delaware. The Trustee will
accept service of legal process on the Fund in the State of Delaware and will make certain filings under the Delaware Statutory Trust Act. The Trustee does not owe any other duties to the Fund, the Managing Owner or the
