                              Director Declaration


Further to the announcement on 22 July 2003 of Kevin Granville Rose's
appointment to the board of CSS Stellar as Finance Director and Treasurer with
immediate effect, the Company announces that there are no other matters to be
disclosed pursuant to Schedule 2 paragraph (f) of the AIM Rules in respect of
Kevin's appointment.



Kevin (aged 36) qualified as a Chartered Accountant with Price Waterhouse,
London in 1991. He then worked for Price Waterhouse Vienna, Austria before
moving to Brussels and Paris with Philip Morris/Kraft Jacob Suchard. Kevin
returned to London working initially as international finance manager for a
sales promotion agency covering Europe and Asia and then as European finance
director for a marketing services company.



Kevin joined CSS Stellar in 2001 as the Chief Financial Officer of The GEM Group
in the US before becoming Chief Financial Officer of CSS Stellar North America.
He has been living in the US for the last 2 years. Kevin is also a member of the
Association of Corporate Treasurers.
