Re:Mothercare plc, Disclosure of Interest in Shares

Mothercare plc announces that it has today been advised by M&G Investment
Management Limited that Prudential plc and certain of its subsidiary companies
("Prudential plc") have decreased their notifiable interest in the share capital
of Mothercare plc to 9,632,291 Mothercare plc Ordinary 50p shares equivalent to
13.58% of the issued share capital. Within this total, M&G Securities Ltd holds
7,567,180 shares or 10.67%.(previously 7,810,128 or11.03%). The previously
notified interest of Prudential plc was in respect of 9,893,072 Ordinary 50p
shares comprising 13.97% of the then issued share capital.
