The Bank of Nova Scotia (the
"Issuer") has agreed to
issue EUR 5,000,000 Callable / Puttable Senior Notes due 29 July
2044 (Series EMTN 464) (the "Notes") pursuant to its U.S.$40,000,000,000 Euro Medium Term Note Programme
(the "Programme").
The following document constitutes
the final terms dated 25 July 2024 (the "Final Terms") relating to the issue of
the Notes and must be read in conjunction with the Prospectus dated
11 July 2024 (the "Prospectus") which constitute a base
prospectus for the purposes of the Prospectus Regulation
(Regulation (EU) 2017/1129, as amended), as it forms part of United
Kingdom domestic law by virtue of the European Union (Withdrawal)
Act 2018, in order to obtain all the relevant information. Full
information on the Issuer and the offer of the Notes is only
available on the basis of the combination of the Final Terms and
the Prospectus.
