Publication of Amended and Restated Final Terms

In connection with Westpac Securities NZ Limited's USD 10,000,000 Euro Medium Term Note Programme, the following Final Terms, each issued by Westpac Securities NZ Limited and guaranteed by Westpac New Zealand Limited, have been amended and restated by way of extra-ordinary resolution:

(a) Final Terms dated 6 June 2017 for USD 20,000,000 Floating Rate Instruments due June 2024 (Series 35) in connection with the base prospectus dated 13 December 2016 (as supplemented on 28 February 2017 and 26 May 2017); and

(b) Final Terms dated 20 February 2019 for USD 20,000,000 Floating Rate Instruments due February 2024 (Series 38) in connection with the base prospectus dated 18 December 2018.

The amendments both pertain to a transition of the floating rate benchmark rate, from USD LIBOR to Term SOFR. Each amendment was achieved with unanimous bondholder consent by means of an extra-ordinary resolution.
