Result of AGM

The Company announces that all of the resolutions put to the shareholders at the Company's Annual General Meeting held at Saddlers' Hall, 40 Gutter Lane, London, EC2V 6BR on 16 April 2015 were duly passed.

Resolutions 1 to 7 and 11 were passed as Ordinary Resolutions and Resolutions 8 to 10 were passed as Special Resolutions. The resolutions are set out below:

Resolution 1: To receive the Report of the Directors and Auditors and Financial Statements for the year ended 31 December 2014.

Resolution 2: To approve the Directors' Remuneration Report for the year ended 31 December 2014.

Resolution 3: To re-elect Malcolm Groat as a director of the Company

Resolution 4: To re-elect Alan Pedder as a director of the Company.

Resolution 5: To re-elect Robert Owen as a director of the Company.

Resolution 6: To re-appoint KPMG LLP as the Independent Auditors and to authorise the Directors to determine their remuneration.

Resolution 7: To extend the authority to allot shares in accordance with section 551 of the Companies Act 2006.

Resolution 8: To empower the Directors to allot shares pursuant to section 570 and 573 of the Companies Act 2006.

Resolution 9: To extend the authority to make market purchases of the Company's shares pursuant to section 693 (4) of the Companies Act 2006.

Resolution 10: To authorise the Directors to hold general meetings on 14 clear days notice.

Resolution 11: That the maximum aggregate fees permitted to be paid to the Directors be increased from GBP100,000 to GBP150,000.
