Brightview, in conformity with the Transparency Directive's transitional
provision 6, makes the following announcement:

As at the date of this announcement, Brightview has an issued share capital of
44,810,106 ordinary shares of 1 pence each with voting rights. Brightview does
not hold any ordinary shares in treasury.

Accordingly, the total number of Brightview ordinary shares with voting rights
is 44,810,106.

The above figure of 44,810,106 may be used by shareholders as the denominator
for calculations by which they determine if they are required to notify their
interest in, or a change to their interest in, Brightview under the FSA's
Disclosure and Transparency Rules.
