                     Management, Strategy & Trading Update


After a Board meeting held yesterday, Rodney Westhead, Chairman and Interim CEO
gives the following update to shareholders concerning management, strategy and
trading.

"Following the tragic death of Phil Carter last week we are very aware of the
need to unite as a team and continue to move the business forward. I have been
immensely impressed by the resolve of all the staff at Carter & Carter to do
just that.

As regards succession, we will not be making a hasty decision. I have very
capable support from the senior management team of Peter Marples, Business
Development Director, John Green, Finance Director and Nigel Kirkham, Chief
Operating Officer, and it is clearly important that we go through the proper
process to ensure we appoint the right individual to the job. We will be looking
internally and externally for a CEO and have appointed headhunters to assist us
in our search.

As regards strategy, the company will continue to pursue the large and exciting
market opportunities as outlined at our Interim results in April and we are
pleased with progress to date. Our focus remains on increasing our exposure to
welfare to work, train to gain, and broadening and consolidating our sector
expertise. In addition, I can report that discussions continue to move ahead
with several colleges and we expect to announce our first college partnership in
the near future.

Finally, as reported at the Interims, we expect our results for the year ending
31 July 2007 to be in line with expectations.
