Publication of Delisting
Circular & Notice of General Meeting
On 13 February 2024, Dispensa Group
plc (LON: DISP), the holding company developing a portfolio of
international luxury food brands, announced its intention to
voluntarily delist its Ordinary Shares from the FCA Official List
and to cancel its listing and trading of its shares on the Main
Market of the London Stock Exchange (the "Delisting").
The Company today announces the
publication of a circular (the "Circular") setting out further details
of the Delisting and its implications for shareholders, together
with a Notice of General Meeting seeking shareholder approval for
the Delisting. The General Meeting of the Company is being convened
at 11.00am on Thursday 14 March 2024 at the Company's
offices, 50 Sloane Avenue, London SW3
3DD. The Circular will be posted to
shareholders at today's date.
Pursuant to Listing Rule 5.2.8R, the
Company is required to give at least 20 business days' notice of
the intended cancellation of its listing on the LSE. It is
anticipated that, subject to the passing of the resolution at the
General Meeting, the Delisting will be effective at 8:00 a.m. on 18
March 2024. Following the Delisting, the Company will no longer be
subject to the regulatory and statutory regime which applies to
companies admitted to the standard segment of the Official List and
traded on the Main Market. The last day of dealings in the Company's Ordinary Share on the Main Market of
the London Stock Exchange is expected to be 15 March
2024.
A copy of the Circular and Notice of
General Meeting will be available on the Company's website
at
https://www.dispensagroup.com/investors.
In accordance with Listing Rules
9.6.1R and 9.6.3R of the UK Financial Conduct Authority, a copy of
the Circular (including the Notice of Extraordinary General
Meeting) will also be forwarded to the UK Financial Conduct
Authority and will be uploaded to the National Storage Mechanism
and available for inspection at
https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
The Company will provide further
updates as necessary.
