    HAREWOOD STRUCTURED INVESTMENT PCC LIMITED (the "Company")
    in respect of its ENERGY - BASE METALS (3) CELL (the "Cell")
    PLACING AND OFFER FOR SUBSCRIPTION

    The Company is pleased to announce the launch of a further Energy Base Metals cell and the appointment of BNP Paribas as the Distributor
of all new shares in this new cell.

    The launch of Energy - Base Metals (3) cell follows on the success of the two earlier similar cells 'BNP Paribas Energy - Base Metals
Secure Growth cell' and the 'BNP Paribas Energy - Base Metals (2) cell' and the Distributor has advised the Company it will make available
to holders of shares in these previous cells an opportunity to sell those shares and reinvest the proceeds in the new Cell, thereby
re-basing their level of capital protection.

    The Company is proposing to issue up to 100 million Energy - Base Metals (3) Preference Shares (the "EBM3 Shares") in the Cell, which
are being offered pursuant to an institutional placing and a public offer for subscription (together the "Offer"). Regulatory approval of
the Offer was received on 12 May 2008 and the Offer is now open. The Offer will close on 29 May 2008.
