Issue aND
CESSATION OF PERFORMANCE RIGHTS AND OPTIONS
European Metals Holdings Limited,
(ASX &
AIM: EMH, OTCQX: EMHXY, ERPNF and EMHLF)
("European Metals" or the "Company"), announces that it has
completed the issue of 120,000 new ordinary shares (represented by
Chess Depository Interests of "CDIs") ("New Ordinary Shares")
pursuant to the exercise and conversion of vested performance
rights (70,000 performance rights expiring 20 December 2025 and
50,000 performance rights expiring 30 November 2024).
Application has been made for the New Ordinary
Shares represented by the CDIs to be admitted to trading on AIM,
with admission expected to take place on 5 April 2024. The
New Ordinary Shares will rank pari passu in all respects with the
existing ordinary shares in European Metals.
The Company also advised that it has cancelled
50,000 performance rights and 1,000,000 performance options to
acquire fully paid ordinary shares, due to lapse of conditional
right to securities because the conditions have not been, or have
become incapable of being, satisfied.
Total Voting
Rights
Following Admission of the above, the Company
will have 207,444,705 Ordinary Shares on issue. There are no
shares held in treasury. The total voting rights in the
Company are therefore 207,444,705 and shareholders may use this
figure as the denominator by which they are required to notify
their interest in, or change to their interest in, the Company
under the Financial Conduct Authority's Disclosure and Transparency
Rules.
