                               Loan from director

Peter Hannen has lent an aggregate of #186,000 to the Company. Of this amount,
#120,000 is unsecured and the balance is secured on 40,000 ordinary shares in
Celtic Resources plc which are held by the Company. The loans carry interest at
an annual rate of 6 per cent. The loans are repayable on receipt of one month's
notice from the lender.

The directors of the Company, with the exception of Peter Hannen, consider,
having consulted with the Company's Nominated Adviser, that the terms of the
transaction are fair and reasonable insofar as the Company's shareholders are
concerned.
