Proven Growth and Income VCT plc ("Company") has today published a 
circular in respect of proposals for a tender offer for 'C' Shares 
("the Circular"). 
 
The proposals are for the Company to purchase up to 5,079,999 of its 
'C' Shares at 75.35p per 'C' Share.  Shareholder approval for the 
tender offer will be sought at the Company's AGM on 7 July 2009.  The 
Circular will be posted to all 'C' Shareholders shortly. 
 
A copy of the Circular will be available for inspection at the 
Financial Service Authority's Document Viewing Facility, which is
