GM Statement

Roeford Properties plc ("the Company") announces that at the General Meeting held today all resolutions were duly passed.

As a result, shareholders have approved the Company entering into the Business Cooperation Agreement (as described in the circular of the Company dated 24 November 2010).

In addition, shareholders have approved the change of Company name to:

Mar City plc

The change of name will be effective once Companies House has issued a certificate of incorporation on change of name. This is expected to occur on or around 17 December 2010. The tradable instrument display mnemonic ("TIDM") of the Company is expected to change to IMIC with effect from 7 a.m. on 20 December 2010.
