Zamaz PLC (LON: ZAMZ), the holding company creating a portfolio of international luxury food brands, is pleased to announce that it is to change its name to Dispensa Group plc.

Name Change to Dispensa Group plc

The Company is liaising with Companies House to implement the change of name to Dispensa Group plc and will release a confirmatory announcement once the name change has been executed.

The Company's TIDM will change to DISP. Its ISIN (GB00BMWW8Q93), SEDOL (BMWW8Q9) and LEI (2138004DZOY3JWDX5Q49) numbers will remain unchanged.

The Company's website address is now www.dispensagroup.com .

Dispensa Group plc's growth strategy is to acquire entrepreneur-led, family-owned, specialty food brands producing regional products of exceptional quality, which are not yet exposed to global markets. To enable these companies to penetrate wider international markets, Dispensa facilitates a process of digital transformation leading to higher margins and increased brand value.

Shareholders, bondholders, and warrant holders should note that their holdings will be unaffected by the change of name, although new certificates will be issued to shareholders, bondholders, and warrant holders following the name change. Beneficial owners of securities held in de-materialised form in CREST do not need to take any action as the Company's ISIN number will not change, therefore references will be automatically updated.

Board changes

Dr Niccolò Caderni, previously a Non-Executive Director of the Company, has been appointed Non-Executive Chairman with immediate effect. The previous Chairman, Martin Groak has moved to a Non-Executive Director role and remains as chairman of the Audit Committee.

Change of Auditor

The Company is pleased to announce that it has appointed Moore Kingston Smith as new auditors.

Change of Year-End

The Company also announces that it has changed its year-end from 31 August to 31 December to align itself with the accounting reference date of its operating subsidiaries. As such, the next full set of annual financial reports will cover the 16-month period from 1 September 2022 to 31 December 2023 and is expected to be published in April 2024. In the meantime, the Company will publish a second set of unaudited interim results for the twelve-month period ending 31 August 2023 by the end of November 2023.

Appointment of Financial Adviser and Broker

The Company is also pleased to announce the appointment of VSA Capital Limited as Financial Adviser and Broker with immediate effect.
