Item 5.02         Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On January 7, 2025, Jaime Hinojosa informed Astrotech Corporation (the “Company”) of his resignation from the positions of the Company’s Chief Financial Officer, Treasurer and Secretary, effective February 14, 2025. Mr. Hinojosa’s resignation is not in connection with any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices. The Company expects to enter into a consulting agreement with Mr. Hinojosa pursuant to which he will provide transition services to the Company with such terms and conditions to be determined. Upon entering into such consulting agreement, the Company will file an amendment to this current report on Form 8-K within four business days.
