The securities to be registered hereby are the depositary shares (the “Depositary Shares”), each representing a 1/1,000th interest in a share of 4.95% Non-Cumulative Perpetual Preferred Stock, Series K (the “Preferred Stock”) of Fifth Third Bancorp (“Fifth Third”). The descriptions set forth under the sections “Description of the Series K Preferred Stock” and ”Description of the Depositary Shares” in the final prospectus supplement dated September 12, 2019, filed with the Securities and Exchange Commission (the “Commission”) on September 13, 2019, in connection with the automatic shelf registration statement on Form S-3 (No. 333-230568) of Fifth Third Bancorp (the “Registration Statement”), filed on March 28, 2019, as amended, are incorporated herein by reference.
