PSBT was founded in 1905 and is headquartered in Scranton, it has over $3.6 billion in assets, in excess of $3.4 Billion in deposits and $2.8 billion in loans. PSBT provides a full range of financial products and services to meet business, personal, trust and investment needs for its customers. PFIS is the parent company for PSBT. Who is FNCB Bank? FNCB Bancorp, Inc. is the holding company for FNCB Bank. FNCB Bank was founded in 1910 and is headquartered in Dunmore, PA. It has $1.9 billion in assets, $1.5 billion in deposits and $1.2 billion in loans. FNCB Bank offers a full suite of personal, small business and commercial banking solutions, operating from 16 community office locations in Lackawanna, Luzerne and Wayne Counties. What is a Merger? Is PSBT acquiring FNCB or vice versa? The terms merger and acquisition are often confusing. We have identified this transaction as a strategic combination of two banks with rich histories. The boards and leadership teams of both financial institutions will be blended together to create an even stronger board of directors and leadership team who are poised to lead the combined Bank well into the future. For legal and accounting purposes, this transaction will have PSBT acquiring FNCB.

The combined Holding Company will be “Peoples Financial Services Corp.” PSBT and FNCB will merge together in one combined Bank (the “Bank”) and operate under one unified brand as “Peoples Security Bank and Trust Company”. Where will the Company Headquarters be located? The Bank Holding Company (PFIS) will be headquartered in Scranton, PA The Bank (PSBT) will be headquartered in Dunmore, PA What will the combined Management Team look like? Craig Best will serve as the Chief Executive Officer of the combined Bank and Holding Company. Mr. Best has led PSBT for over 17 years in this capacity. Jerry Champi will be named President of the combined Bank and Holding Company. Mr. Champi has served as President and Chief Executive Officer at FNCB for over seven years. Thomas Tulaney will continue to serve as the Chief Operating Officer for the combined Bank and Holding Company. Mr. Tulaney has served in various capacities at PSBT for over 12 years. It is anticipated that 12 months after the close date, Jerry Champi will become the Chief Executive Officer and Thomas Tulaney will serve as President and Chief Operating Officer. John Anderson will serve as the Chief Financial Officer and James Bone will serve as the Chief Operations Officer for the combined Bank and Holding Company. Mr. Anderson and Mr. Bone both have served in various capacities for more than 30 years with their respective institutions. The remainder of the Executive Management Team slated to lead the combined organization will be released at a later date. What will be the structure for the Board of Directors? The board structure for the Holding Company will be comprised of 16 directors. Eight (8) directors from PFIS and eight (8) Directors from FNCB. William E. Aubrey II will serve as Chairman and Louis DeNaples, Sr. will serve as Vice Chairman for both the Holding Company Board and Bank Board. Why combine the two organizations and what makes the two organizations attractive strategic partners? PSBT and FNCB are both highly respected institutions with rich histories, valued banking franchises, strong leadership and experienced professional bankers. The resulting company will also leverage its strength to benefit our shareholders, customers, and the community with an enhanced suite of banking products, services, and technology. What will the culture of the new company be like? When evaluating the transaction, it was extremely important to both PSBT and FNCB that the culture of the two organizations fundamentally aligned. Over the past 10+ years, employees from both organizations have established a very close business relationship in various community activities and we have built a very significant partnership in loan participations. We are both committed to living out our core values daily with a strong desire to positively impact lives. We are community bankers, committed to our employees, customers, shareholders, and the communities we serve. What are the plans to integrate the two companies? In the coming weeks, an integration planning team, which will be comprised of leaders from both companies, will begin the work of bringing the two companies together. This will be a big undertaking and it will take some time to analyze all of our systems, processes and products. It will take some time to complete this analysis. Kindly understand that we may not be able to answer every question immediately. We are committed to transparency and will continue to keep you updated along the way. Our goal is to provide the highest level of quality products and services for our customers and shareholders in the most cost - effective and efficient manner. Will there be any branch consolidations? We will be evaluating the branch structure and due to the proximity of certain branch locations some consolidation will be likely. Any branch consolidations will be accomplished with careful evaluation and significant consideration to ensure a limited impact on the local community, employees, and our customers. Will anything happen to my job? For all of us, this change represents opportunity. The combined company should provide opportunities for employees to have new and expanded roles throughout our organization. The key to success will come from the combined skills and performance of our banking team. Part of the integration process will be to analyze the staffing needs of the combined company, and as in any transaction between banks of our size, we expect duplication within departments and branch consolidations that are in close proximity. As a result, we do expect some staff reductions. Any job elimination will be entitled to and compensated with a severance payment per Bank policy. We expect all employees of both banks to continue employment in the ordinary course of business and the reporting structure to remain the same through the closing of the merger.
