State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Infinera Corporation (the “Company”) has determined that it will not be able to file its Quarterly Report on Form 10-Q for its fiscal quarter ended March 30, 2024 (the “Form 10-Q”) by May 9, 2024, the original due date for such filing, without unreasonable effort or expense due to the circumstances described below.
On February 29, 2024, the Company filed a Form 10-K/A for the period ended December 31, 2022, a Form 10-Q/A for the period ended April 1, 2023, a Form 10-Q/A for the period ended July 1, 2023 and a Form 10-Q for the period ended September 30, 2023. These filings have caused a delay in the Company’s year-end closing procedures and the filing of its Form 10-K for the period ended December 30, 2023 (the “Form 10-K”). The Company intends to file its Form 10-K imminently and intends to file the Form 10-Q shortly thereafter.
