Adjusted EBITDA
Adjusted EBITDA is defined as consolidated net income (loss) before (1) interest expense, (2) income tax recovery, (3) amortization and depreciation, (4) foreign exchange gain (loss), (5) fair value adjustment on derivative instruments, (6) special charges and restructuring costs, and (7) stock-based compensation. For a reconciliation of Adjusted EBITDA to net income, the most directly comparable U.S. GAAP measure, see attached "Reconciliation of Net Income to Adjusted EBITDA."
Adjusted EBITDA is not a measure calculated in accordance with U.S. GAAP. Adjusted EBITDA should not be considered as an alternative to net income, income from operations or any other measure of financial performance calculated and presented in accordance with U.S. GAAP. We prepare Adjusted EBITDA to eliminate the impact of items that we do not consider indicative of our core operating performance. We encourage you to evaluate these adjustments and the reasons we consider them appropriate, as well as the material limitations of non-GAAP measures and the manner in which we compensate for those limitations. See "Selected Financial Data" in Mitel's Annual Report on Form-10-K, which has been filed with the U.S. Securities and Exchange Commission on July 27, 2010 and filed with Canadian securities authorities.
Non-GAAP Financial Measurements
To supplement our consolidated financial statements presented on a GAAP basis, Mitel uses non-GAAP measures of operating results, net income and income per share, which are adjusted to exclude certain costs, expenses, gains and losses we believe appropriate to enhance an overall understanding of our past financial performance and also our prospects for the future. These adjustments to our current period and comparative prior period GAAP results are made with the intent of providing both management and investors a more complete understanding of Mitel's underlying operational results and trends and our marketplace performance. For example, the non-GAAP results are an indication of our baseline performance before gains, losses or other charges that are considered by management to be outside of our core operating results. In addition, these adjusted non-GAAP results are among the primary indicators management uses as a basis for our planning and forecasting of future periods. The presentation of this additional information is not meant to be considered in isolation or as a substitute for net income or diluted net income per share prepared in accordance with generally accepted accounting principles in the United States.
Forward-Looking Statements
Investors are cautioned that Mitel's historical performance has in the past deviated, in some cases materially, from its financial performance targets. Given that Mitel's sales occur disproportionately in the final weeks of a quarter, Mitel does not intend to update its financial performance targets during or after the quarter and will not comment or report on its third quarter results until after it releases its financial results for the third quarter of fiscal year 2011 and holds its conference call with respect to such results.
Some of the statements in this press release, including the information regarding our financial performance targets for the third quarter of fiscal year 2011, are forward-looking statements within the meaning of applicable U.S. and Canadian securities laws. Statements that include the words "target," "outlook," "may," "will," "should," "could," "estimate," "continue," "expect," "intend," "plan," "predict," "potential," "believe," "project," "anticipate" and similar statements of a forward-looking nature, or the negatives of those statements, identify forward-looking statements. In particular, this press release contains forward-looking statements pertaining to, among other matters: our future economic performance, profitability and financial condition; general global economic conditions; our business strategy; plans and objectives for future operations, our industry and the growth in the markets in which we compete; the costs of operating as a public company; and our research and development expenditures. These forward-looking statements reflect currently available information or our current views with respect to future events and are based on assumptions and subject to risks and uncertainties. In making these statements, we have made assumptions regarding, among other things:

* A stable or recovering economic environment
* No significant event occurring outside the ordinary course of our business
* Stable foreign exchange and interest rates

Mitel Expands Suite of Virtualized Unified Communications Applications for VMware Environments
Mitel Networks - Common Shares (MM) (NASDAQ:MITL)
Intraday Stock Chart
Today : Tuesday 31 August 2010
Today at VMworld 2010, Mitel® (NASDAQ: MITL), a leading provider of unified communications (UC) software solutions, announced additional Mitel unified communications applications that are now available as virtual appliances running in a VMware environment.
In combination with applications previously released, Mitel is one of the industry's first vendors to have a complete UC suite of virtual software applications available to the market. Mitel Virtual Solutions leverages VMware vSphere™ to enable customers to consolidate Mitel's leading voice and unified communications applications alongside non-voice business applications in the datacenter.
"The Mitel Virtual Solutions portfolio combined with carrier SIP services now allows customers to deploy an entire unified communications solution as a software-only configuration," said Stephen Beamish, vice-president marketing and business development, Mitel. "This provides customers with the choice in selecting a solution that meets the requirements of their business model and technology infrastructure."
Following the availability of Virtual Mitel Communications Director (Virtual MCD) and rounding out the Mitel Virtual Solutions portfolio, the following applications are now VMware Ready™ certified and available as virtual appliances:
-- Virtual Mitel Applications Suite (Virtual MAS) - brings together
business-critical unified communications applications such as messaging,
conferencing, collaboration, informal contact center, business reporting
and analytics, and mobility in a single software package.
-- Virtual Unified Communicator® (UC) Advanced (Virtual UC Advanced) -
provides users with single-portal access to all collaboration tools
including deskphone/softphone integration, presence, instant messaging,
visual voice mail, and audio, web, and desktop video conferencing.
-- Virtual Mitel Border Gateway (Virtual MBG) - a solution that enables
businesses of all sizes to easily enjoy the benefits of UC through a
low-cost, secure, "plug and work" solution that extends applications to
teleworkers across remote locations.
"As customers continue on the path to IT as a service, they are virtualizing more business-critical applications. For unified communications solutions, they seek flexibility, reliability and scalability while still expecting high levels of performance," said Parag Patel, vice president, Global Strategic Alliances, VMware. "With the VMware and Mitel partnership, customers can virtualize tier-one applications for a cost-effective approach to cloud computing."
Mitel Virtual Solutions are designed to reduce costs by enabling server consolidation, reducing power consumption, and decreasing provisioning, installation and application management overhead. The solutions enable improved productivity and efficiencies in datacenter management and provide a single business continuity and disaster recovery plan.
Additionally, Mitel Virtual Solutions can take advantage of VMware management tools to provide improved application availability and simplify installation and maintenance.
SmartStream Technologies, an enterprise-wide, real-time Transaction Lifecycle Management (TLM) solution provider with more than a thousand clients, including more than 75 of the world's top 100 banks, has deployed the full suite of Mitel Virtual Solutions in its NY operations with plans to grow to more than 300 end users including offices in Europe.
"The fact that we can run all our voice and unified communications applications in a virtual environment means we can implement new applications in days versus weeks," said Brad Lunsford, director of IT for SmartStream Technologies. "Our strategy is to implement VMware for all business applications, so deploying our voice in the same environment makes sense. Compared to competitive offerings, the Mitel solution provides the best ROI because it is a complete software deployment. Additionally, Mitel Virtual Solutions is a far superior solution for day-to-day maintenance and disaster recovery when compared to traditional deployments."

National Unified Procurement Company Selects Mitel Virtual Solutions
OTTAWA, ONTARIO -- (Marketwire)
06/09/10
Mitel® (NASDAQ: MITL), a trusted provider of unified communications software solutions, announced today that the National Unified Procurement Company (NUPCO), a healthcare supply chain company in Saudi Arabia, has selected Mitel Virtual Solutions designed to reduce costs, enhance its business continuity strategy, improve employee productivity, and increase flexibility by providing a singular network to run both voice and data.
Based in Riyadh, Saudi Arabia, NUPCO was established by the Saudi Arabian government in 2007 and is the exclusive supplier of medical procurement and logistics for more than 4,000 public hospitals and health care units.
In selecting the Virtual Mitel Communications Director (Virtual MCD) as the backbone of its system, NUPCO gains a flexible system that is scalable and intuitive for its growing workforce. In the first phase of deployment, NUPCO has rolled out Virtual MCD at its head office, providing the ability to network individual offices and remote locations seamlessly.
The rollout of Virtual MCD coincides with NUPCO's implementation of a complete virtualization strategy, with a goal of complete data center virtualization using VMware®. By deploying Virtual MCD, which leverages VMware vSphere? 4, NUPCO can consolidate voice and data applications onto a single server, cutting server hardware costs and maintenance time for IT staff, and reducing operational costs.
"The decision to move to a virtualized environment for our voice and data needs was an easy one," said Ibrahim Al Omar, IT operations and networks manager, NUPCO. "Our head office is supported by Virtual MCD and we will be implementing Mitel solutions at all our 19 warehouses and remote locations. This will increase our return on investment in good time. Our aim in phase two is to virtualize all applications by merging our data centre with voice real time apps, hence the selection of Virtual MCD software. This will help us achieve our goal of a centrally managed voice and data network."
NUPCO has also selected the Mitel Applications Suite (MAS), which provides a rich set of advanced software applications including Mitel Audio and Web Conferencing (AWC), Mitel Business Dashboard, and the Mitel Teleworker Solution on a single server. MAS provides a single point of access to administer applications and optionally manage all users on Virtual MCD. With MAS, NUPCO is able to add applications as needed, providing seamless integration across all communication.
With the addition of MAS to its communications roster, NUPCO is planning a rollout of Mitel Unified Communicator® (UC) Mobile, to enable employees to link an office extension with any other telephone, mobile, or landline, meaning all employees can stay connected via just one number.
NUPCO will be setting up a contact center for inbound calls. With Mitel Customer Service Manager, NUPCO contact center employees can implement an intelligent queuing system designed to effectively route all calls. While Unified Communicator® (UC) Advanced, Mitel's unified communications application, will provide agents with screen pop-ups displaying customer information that enables for a more personalized experience.
"With the selection of Virtual MCD and MAS, NUPCO is moving toward the seamless environment it hopes to store its data and voice in," said Hisham El-Amili, sales director, Middle East, Mitel. "NUPCO can now improve the management of information between its customers, partners and suppliers, giving it the competitive advantage needed to save time, enhance productivity and allocate IT resources effectively. As NUPCO continues to grow, Mitel's flexible offerings will provide a seamless experience for every employee, so that NUPCO can service its customers at the highest level."

Summit Automotive Standardizes on Mitel for Seamless Communication Across Growing Dealership Empire
PHOENIX, ARIZONA -- (Marketwire)
05/12/10
Mitel (NASDAQ: MITL)
Editors note: A photo and a video are included with this press release on Marketwire's website.
News Facts:
-- Mitel® (NASDAQ: MITL), a trusted provider of unified communications
software solutions, today announced that Summit Automotive has
standardized its voice architecture with Mitel in order to meet the
speed, deployment, and scale needs of its rapidly expanding family of
automotive dealerships.
-- Summit Automotive Partners, a member of the Booth Creek Management, LLC
portfolio, selected Mitel as its communications provider. This decision
is based on Mitel's robust and flexible architecture and seamless
integration of voice and data in a virtualized environment.
-- Summit has already begun deployment of the Mitel Communications Director
(MCD), Mitel Unified IP Client for Sun Ray?, and Mitel Applications
Suite (MAS), in concert, across its entire existing dealership group.
-- Mitel's ease of deployment and flexibility is consistent with Summit's
growth strategy. That strategy necessitates Summit to meet standard
vehicle manufacturer requirements on retooling within a 72-hour window
when there is an ownership change.
-- The flexible deployment architecture of MCD allows Summit to loosely
couple locations into a highly adaptable and resilient network, and
decouple if they choose to divest a location.
-- The nature of Summit's distributed dealership network and decoupling
requirements drove a company-wide thin client strategy. Mitel Unified IP
Client for Sun Ray provides simplified and secure authentication for
both voice and data, allowing unified hotdesking for enhanced workforce
flexibility. It also enables Summit to drop thin clients into place and
configure credential information in the back office which simplifies
desktop management while reducing costs.
-- Enhancing Summit's thin client strategy is Mitel's pedigree in
virtualized voice. In the future, it will allow Summit to seamlessly
leverage existing VMware® investments with both the Mitel voice and
Sun Ray environments. These environments will be virtualized to
complement Summit's IT efforts on best practices.
-- The enterprise grade, flexible and high performance Mitel technology is
matched by its Mitel TotalSolutions Program (TSP), which helps Summit
effectively plan for expenditures on an operating expense basis. This
enables Summit to streamline investments and increase project cost
accuracy to a low single digit percentage point. This is essential in
the strategy through which Summit grows its business.
Quotes:
"Summit Automotive is a great example of the type of organization that thrives with Mitel. These companies are dynamic and growing, and flourish when supported by Mitel's flexibility and advanced architecture through offerings such as virtualized voice that bring performance enhancements that drive bottom line results."
- Rick Dell, President, US, Mitel
"We selected a Mitel Unified Communications Solution because when as we looked at the IP telephony space we found there were few players that could provide us the growth and scalability that is required in retail automotive."
- Chad Griewahn, CTO, Booth Creek IT, LLC, parent company for Summit Automotive

Mitel will preview Mitel Mobility for BlackBerry MVS 5 with voice over Wi-Fi calling to attendees at WES 2010 this week, highlighting its plans to extend access to Mitel's business communications applications on BlackBerry® smartphones. The planned solution will combine the advanced telephony features of Mitel Communications Director (MCD) with the mobility features of BlackBerry MVS 5 across corporate networks. Additionally, Mitel's Dynamic Extension solution allows for the seamless call hand off between devices meaning employees can answer a customer call at their desk, continue it on their BlackBerry smartphone, and complete the call on a home phone line.
"Mobilizing voice systems is a priority for enterprises as they continue to look for new ways to empower their workforce," said Jeff McDowell, senior vice president enterprise marketing and alliances, Research In Motion. "We're pleased to be working with Mitel through their membership in the BlackBerry Alliance program as they evolve their solution for BlackBerry smartphones to offer even greater benefits to organizations."
"As companies look to extend their enterprise mobility to users, voice and voice feature integration is a natural progression and another area that can provide sizable cost-savings. Vendor solutions like Mitel Mobility Solutions with the BlackBerry Mobile Voice System allow organizations to extend their in-office capabilities anywhere, anytime and from mobile devices. This will be crucial to increasing productivity and responding to customers in every business," said Mike Sapien, Ovum, global research & advisory firm.
Mitel currently offers feature-rich unified communications applications for BlackBerry smartphones to provide the same user experience as on a Mitel desk phone, including the ability to:
-- Access unified communications and collaboration information, including
corporate contacts and voicemails, using Mitel Unified Communicator®
(UC) Advanced Mobile Portal.
-- Automatically update Mitel's Dynamic Status using Mitel UC Advanced
Dynamic Location, a recently announced BlackBerry smartphone application
which uses GPS and other location-based services from the BlackBerry
smartphone.
These Mitel solutions not only simplify the user's call experience, it also enables IT managers to consolidate and simplify datacenter management combining Mitel's voice virtualization strategy and other business applications into a single virtual environment, eliminating the gap between IT and voice organizations.
"We continuously hear from customers about the importance of mobility in their companies. BlackBerry smartphones continue to lead in messaging and with Mitel's pedigree in voice applications, we are offering our customers best-of-breed solutions to suit their business communications and mobility needs," said Paul Butcher, president and COO at Mitel. "Mitel is in a unique position to deliver integrated software-based solutions in a flexible manner to new and existing customers."
