Explanation of Responses:
(1) As previously disclosed in a June 6, 2023 Form 8-K relating to a JSE announcement disclosing transactions in Company shares, which transactions were also reflected in a prior Form 4, wherein shareholders were advised that Paul Dell's intention is to sell approximately 50 000 ordinary shares issued to him in respect of these retention shares (to cover the immediate tax obligation arising from the settlement of the retention shares). At the conclusion of this process, Paul Dell expects to have increased his shareholding in MiX Telematics by 50 000 ordinary shares, bringing his total shareholding to approximately 21 798 American Depositary Shares (equivalent to approximately 544 955 ordinary shares). Shareholders are accordingly advised that Paul Dell has sold 66 shares as detailed in the table above:
(2) The conversion price reflects the approximate conversion rate of Rand 18.3268 per U.S Dollar as of June 15, 2023.
(3) 25 Ordinary Shares represent 1 American Depositary Share.
