EXPLANATORY NOTE

On May 16, 2024, Sequans Communications S.A. secured an extension of the standstill agreements from its three main financial debt holders, Lynrock Lake, Nokomis, and Renesas until August 26, 2024. The goal is to provide sufficient time for the Company to effectively negotiate and finalize a new strategic transaction, thereby securing a long-term solution that aligns with the interests of all stakeholders.
