 The registration statement registers the issuance of 10,000,000 common shares, which are issuable under the NutraFuels, Inc 2018 Omnibus Securities and Incentive Plan, and any additional common shares resulting from stock splits, stock dividends, or similar transactions involving the registrant s common shares, in accordance with Rule 416 under the Securities Act of 1933, as amended (the Securities Act ).
