Item 2.02. Results of Operations and Financial Condition.
 
On May 15, 2023, Planet 13 Holdings Inc. (the “Company”) announced via press release its results for the first quarter ended March 31, 2023, and filed a Form 8-K related thereto under Item 2.02. Shortly thereafter, the Company issued a corrective release to correct a typographical error. The full text of the corrected press release, dated May 15, 2023, is attached as Exhibit 99.1 to this Current Report on Form 8-K/A and is incorporated by reference herein. The corrections are being made to correct typographical errors where the word “loss” was inserted in two bullets stating, “Adjusted EBITDA loss of $0.68 million”. As corrected, those bullets now state, in relevant part, “Adjusted EBITDA of $0.68 million”, clarifying that the Company did not incur an Adjusted EBITDA loss in Q1 2023.
