Trips followed by an epic reverse split to wipe out current bagholders. The A/S is maxed out so there's no other way to finance company growth except the keep printing more shares.
A R/S (say 1-for-100) is always accompanied by a token/ disproportionately small reduction in the A/S (i.e reducing 7 billion to 700 million). This head fake --while initially cheered-- actually represents a massive increase in the number of shares available to issue.
A reverse split 1:100 lifts a stock priced at .0001 to .01. A million shares at .0001 = $100. The R/S instantly converts those into 10,000 x .01= $100.
What many don't realize is that .0001 is no longer the bottom. Instead of lying on the sidewalk and unable to fall further....you're now at risk of falling off a 100 foot tall building.
In other words, your post R/S $0.01 shares can now plunge all the way back down to .0001 resulting in an additional loss of -99%. When that happens your post-R/S $100 is then reduced to $1.
THIS is how scam tickers rid themselves of old bagholders whose investments were cashed out by others, mismanaged or stolen. Remember, SPZI had dumped 5.5 billion shares before Park ever slithered in. He has no loyalty to those who did nothing to finance his ventures. And the fact that none of management has yet admitted to owing any common shares tells me there's nothing to lose in pulling a R/S. IMO it would have happened already except for the fact that insiders (ex-CEO Strickland, The Goulding Madia and ESC) are still slowly dumping their stakes.

The reasons are not important. I do not own any shares of NHMD and I wish them well in their endeavors. As a matter of fact, I do not own a share of any public company, and I have never been a Stock investor or "penny stock" owner. I build businesses that create value for my investors, and I intend to do exactly that for all SPZI shareholders.
How is Park being paid? I didn't see an entry in the financials for Salary and Wages.
In the last Q the SGA was $2,928,468 - many times this is where OTC companies hide many things.

Certainly all company PR's are believable...
I chose to merge my commodities trading businesses into SPOOZ, Inc. as being a public company to provide transparency and publicly recognized value...
In the coming days, I will demonstrate the contracts that have been signed, financing that is in place, and the revenues and margins that I anticipate for SPZI.

Actually all I did was notice some things Park buried in a PDF link on his website but failed to disclose elsewhere. IMO the ONLY reason for doing that is to hope it flies under the radar of everyone. Only by doing actual DD are such things revealed.

No PR..no mention on OTC...apparently that's news he didn't want revealed. So will Rudy be rubber stamping the next boilerplate ''attorney opinion letter?" If so, why is Gary Blum still listed on OTC as "securities counsel?" Couldn't that switch have been made when Park quietly removed Diego as CEO on OTC?

Lastly (and again)--- Anyone heard of "JP Acquisition, INC--CEO John Park?" It's not incorporated in Wyoming, Nevada, Florida, Delaware. There's one in PA formed in 2002 (President: JANE A PHELAN 311 DORSET RD DEVON PA 19333-15 Control ID 0003096906). Anyone?

TRENTON – A redeveloper looking to bring a manufacturing plant to the capital city was written off as a “joke” by a city legislator who demanded to know whether company leaders were already lining the campaign coffers of council members.
East Ward Councilman Joe Harrison asked members of CIG Partners Limited on Thursday whether they donated to the political campaigns of any sitting legislators who listened to a 20-minute pitch on how company bigwigs hope to turn the historic and vacant Roebling Block II into a bustling manufacturing plant.
City officials said they received five proposals for the empty building, CIG Partners among them.
The company claimed to have already secured letters of intent from two unnamed Korean companies interested in opening up a “self-contained urban industrial campus” in the capital city, said Kyle Barnett (Park's partner/ co-defendant in their PPE Solutions/ counterfeit 3M N95 facemask scam--KAM), one of the presenters who laid out CIG Partners’ vision.
He and others with the firm denied having donated to any legislator ahead of the meeting, which was brokered by Rudolph Palombi, an attorney who represented ex-mayoral candidate Paul Perez in a 2018 fight to unseat the former Mercer County Board of Elections chairwoman.
The goal, Barnett said, is to bring a “21st century economic engine” to the city focused on creating “jobs, jobs, jobs” for residents.
The company claimed it’ll bring between 400 to 500 new jobs to Trenton if the city accepts a $1 million offer for the building.
Company bigwigs admitted they can’t secure financial backing from investors without an agreement in place with the city. They anticipate construction would take more than two years to complete.
The Trentonian reached out to Palombi for more information about CIG Partners after an online search of the company turned up scant information about its mission and stakeholders.
The city couldn’t immediately provide a copy of the company’s proposal for Roebling Block II, which was the site of a failed attempted marriage with fiberoptics firm Princetel.
The lot has stood empty since that deal blew up, helping sour the relationship between Mayor Reed Gusciora and the governing body.
The council has since tried wresting control of redevelopment from the housing and economic redevelopment department.
Legislators sued Gusciora, claiming he blocked an application to the Local Finance Board needed for the city to establish a new redevelopment authority.
That served as the contentious backdrop for CIG Partners’ presentation, which was marred by chaos and technical difficulties.
One of the main speakers couldn’t log into the virtual meeting until the end of the presentation.
And company principals struggled to answer questions from council redevelopment attorney John Hoffman about how much the project would cost, how it would be financed and when construction would begin and end at the site.
At the end of the pitch, Councilwoman Marge Caldwell-Wilson had to ask what types of products the Korean-based companies would produce at the plant.
A company official said the companies would pump out parts for air filters (another Covid scam???--KAM) along with beauty products extracted from mushrooms.
Council President Kathy McBride quickly shut down the presentation once Harrison asked about political donations.
Harrison said Friday that he wasn’t sold on CIG’s proposal and looked forward to hearing ideas from the four other redevelopers that responded to the city’s solicitation for proposals.
