                 Update on cancellation of trading and listing

It was announced on 23 October 2003 that Potter Acquisitions Limited intended to
procure that Stirling Group plc apply for cancellation of the trading of
Stirling Shares on the London Stock Exchange's main market for listed securities
and of the listing of Stirling Shares on the Official List and that it was
anticipated that such cancellation would take effect no earlier than 20 November
2003.

This application has now been submitted by Stirling Group plc and it is now
anticipated that such cancellation will take effect on 9 December 2003.

Words and expressions defined in the Offer Document dated 23 September 2003
shall, unless the context otherwise requires, have the same meanings when used
in this announcement.
