MARKS AND SPENCER GROUP PLC CONFIRMS

CHIEF FINANCE OFFICER DEPARTURE DATE

Further to the announcement made on 23 September 2019, and in accordance with paragraph 9.6.12 of the Listing Rules, Marks and Spencer Group plc today confirms that Humphrey Singer will leave the business and step down from his role as Chief Finance Officer and from the Board on 31(st) December 2019.

The following information is provided in accordance with section 430(2B) of the Companies Act 2006:

-- Humphrey Singer's remuneration terms will be in line with his service agreement and the relevant provisions of the Marks and Spencer Group plc's Executive Remuneration Policy approved by shareholders in 2017.

-- He will continue in his role until 31 December 2019 and, under the terms of his service agreement, he will receive salary only, by way of phased monthly payments (subject to mitigation) from 1 January until 31 March 2020. No further payments will be made.

-- All unvested share awards granted will lapse in full on leaving and he will not be eligible to be considered for a bonus payment.

-- Further details of the contractual and leaving provisions for Board directors are summarised in the Directors' Remuneration Report in our 2019 Annual Report & Financial Statements.
