Western Copper and Gold Announces Strategic Investment by Michael Vitton

VANCOUVER, B.C. Western Copper and Gold Corporation (“Western” or the “Company”) (TSX: WRN; NYSE American: WRN) announces that strategic investor, Michael Vitton, has agreed to purchase 3,000,000 units (the “Units”) at a price of $0.65 per Unit to raise gross proceeds of up to $1.95 million on a private placement basis (the “Private Placement”).

Each Unit will consist of one common share of the Company (a “Share”) and half of one non-transferable warrant (each whole warrant, a “Warrant”). Each Warrant will entitle the holder to purchase one additional Share at a price of $0.85 for a period of 60 months from closing.

Western plans to close the Private Placement as soon as practicable subject to receipt of all necessary regulatory approvals, including the approval of the TSX.

The Company intends to use the proceeds from the Private Placement for development of the Casino Project and for general corporate purposes.

This news release does not constitute an offer to sell or a solicitation of an offer to sell any of the securities in the United States. Western Copper and Gold, Corp. (WRN) got caught in a commodity shakeout generated by doubts about the president’s infrastructure initiatives. The stock held up well through the downturn, dropping into range support at $1.20 that’s defined a floor since December. It rallied off that base on March 29 and closed above the 50-day EMA for the first time in three weeks.

The rectangle may complete the handle of a cup and handle pattern because it’s also testing resistance at the 2012 high (red line). A breakout will target the 2011 all-time high at $4.49, which may generate a larger scale breakout or topping pattern. As a result, buying within the current trading range may eventually pay off with a broader uptrend that faces no overhead resistance.

I think, from what I know, the property has reserves and is minable but at metals current value I don't think its gonna happen anytime soon(hence company stated a 2 yr pushback). The company last year had something in their timeline of operations go down(during the summer months as I recall it) that brought new investors to the table along with the rise in metals and that propelled us from the usual .60 avg to where we sit now. But other that their campaigning for $$$(IMO to keep BS ops up). I don't know what happened in Dec for the 1.80 spike but they did run similar on hype I think it was in 2012 in dec or the following year(I figure it was on expectations of earnings this time,) and when people saw all they are doing is chipping away at their reserves and pushed back the mine timeline, to me that is a sure flag over the next two years what is gonna continue to happen unless something radical happens or is announced.

Right now I am out of WRN (bought at .20 feb 2016 sold at .98 in August I think it was) but am watching for the drop to see if I can make money on em again for a 3rd time. And I am waiting for a min of .72 PPS

Take what I speculate as you will but right now WRN is moving on hype, metals pricing, CAD to AD differential and institutional buys. if you follow the Accum/Did chart above the monthly shows a downward trend that is hype drying up and investors like you and me aren't touching em as much. the On Bal volume shows institutional buys like an ETF that maybe holding em or I think there is an employee share purchase program that would fall under the on bal buys and when they announced that years ago that was the reason for the Dec 2012 run as I remember it.

Thanks for your incite on this stock.
I am new to it and appreciate a little history
about it also.
It has been on a side way run the last few weeks
So from this point on any drop in its price will
be because of falling metal prices.
So you could be right on it falling too the .70 level.
By their own admission it will cost 2 billion
just to develop the property before mining operations
can begin.
So the project must be worth the trouble with a capitol
expenditure that huge.

I hope your right about the manipulation, but if it doesn't and this has been a know problem since before the 80s but verified then,(I'm very skeptical it will end as when COMEX came online they said it would end it and COMEX is what is wrong w metals today IMO) if anything there will be hype and a trickle upward toward that mark of 2018, that you say then either result will end in a drop of prices before a stable legit changes occurs. So I am waiting and might never get it but I've made money in the nyse WRN two times now and until a lot changes I refuse to buy over .72 ATM cents a share, I do agree they are a diamond in the ruff play, but two things need to change; metal values need to increase or expect to increase towards double what they are now, and the company needs to start turning metals outta the mine that they have been bragging about since 2001ish(company renames and chart history was hide prior to the 2011 p & D that gave them the funds/cash reserves they have now) I think it was. (I held shares from 2012ish to august of 2016 and continue to watch)

They look great on paper but other that a few P&D plays or hype from the company I expect this one to slowly fall with and without dips in metals.

I started both NYSE and TSN ihub pages for WRN and this is my two cents take em for what they are worth, but I did call the .20cent feb 2016 PPS nearly two years out and is in the history somewhere here in IHUB

I am not about to predict the metals market and what
they will do.
A big change is coming @ the beginning of 2018 when
new laws will basically end the criminal manipulation of
the metals by the big banks.
This will all but wipe out the paper trades.
Not sure what this will do to the price of gold,silver
and copper but it should make a more stable price for each
where actual supply and demand will dictate the price.
Where now supply and demand has nothing to do with the price
of these metals because of large bank manipulation.

If you follow the Accum Dist line of the charts you can see investors like you and me have little interest and most I'd guess are gone and waiting for .60 and under it will happen again, unless metals go on a run(which if you follow the market history a real up should not began until after 2021 no later than 2025). 4 more years till this company will even maybe be in the money and right now they have been chipping away at their reserves last I checked. been here and or watching since the end of 2011.

The capex will take care of itself if a new
investor (partner) is brought on board as
long as gold averages out north of $1,000 an ounce
over the next few years.

It is still a good long term investment.

Not sure why there is so much short selling
on this stock.
It seems to be running about neck and neck
with NAK in its fall.
It does not make any sense where the NAK case is a
political play against the company in order to
stop the pebble project in Alaska.
Maybe, collectively, a lot of environmentalist kooks
are shorting this stock also.
These mining companies in Canada and the US now have to
abide by very strict environmental standards so
what the H$$L is the problem.

If you are of the belief Gold prices are going higher in the future and can hold the $1200 support level this presents a good buying opportunity as long as they can get the capex to fund the project. Which should be reasonable at higher prices.

Also if you read my previous post on the latest news
of WRN they have to construct 75 miles of roadway including
bridges just to access the project.
Bring in there own natural gas fired electrical generator.
This and probably much more even before they can start preparing
the mine for mining.
So all this funding cannot be accomplished unless by some miracle
their stock goes up to $10.00 or more a share in less then a year.

Not out of the question if the metals market explodes in 2017.

This stock a gamble?
Sure is, but I believe a good gamble compared to other Jr miners.

The only thing I can read into it at the moment is,
they are looking for a partnership to help in the
future funding of this project.
Like Northern Dynasty and the pebble project in Alaska
they are not able to fund the project on their own.

The resources they are going after is huge for both companies.
A 22 year estimated life of the Casino project.

Not sure what the projections of the life span of the pebble
project is but probably longer.

Just my thought.

New to this stock, but it seems intriguing and I'm trying to find out a bit more about it.

I've been scanning the most recent financial statement I can find (Q2, period ending June 30, 2016), and I encountered this statement:

"The Company’s only exploration and evaluation asset is the wholly-owned Casino Project. The Casino Project is a large copper-gold-molybdenum porphyry deposit located in Yukon, Canada.
All claims comprising the Casino Project are subject to a 2.75% net smelter returns royalty (the “NSR Royalty”) on the future sale of any metals and minerals derived therefrom. Western has the option to repurchase 0.75% of the NSR Royalty (resulting in a rate of 2%) for US$59 million if the amount is paid on or before December 31, 2017.
As part of a separate agreement, Western is required to make a payment of $1 million upon making a production decision on the Casino Project."

Can anyone help me break this down and understand what exactly this means?

Any other information or tips you guys may have about this stock would also be welcomed, thanks in advance!

Whoisit, nice pick! Here some more info and a few thoughts. Including inferred ounces they sit at 18 milllion AU ounces. Optionality play at higher prices for sure.

Western Copper and Gold has a huge copper/gold project in Canada (Yukon) called Casino. If they can get financing ($2.5 billion capex), and both copper and gold prices hold up, this could be a 25+ bagger. If you value this as a 250,000 oz per year long life low cost gold mine, it is highly undervalued. The current FD market cap is only $61 million. But if they can't find financing and have to sell, the returns will be much less. If the buyout is from a major, the returns could be much less than your expectations. And if copper and gold prices don't stay high until the end of the decade when they begin construction (2019 or 2020), then it could be less (and potentially the mine might not get built).

This project could be a low cost cash flow machine ($200 million to $500 million per year). They are going to produce around 250,000 oz of gold, 1.5 million oz of silver, 175 million lbs of copper, and 16 million lbs of moly for 20+ years. And this does not include their inferred resources of nearly the same totals. Thus, they could easily increase production. Will this project get built? Will copper demand remain strong? These are high risk questions. Perhaps the smart play is to wait and see if they can get financing and the terms. One interesting question is if it is economic at $2,500 gold without any copper production. If I believed in copper, I would be an investor.

Dilution should remain low. They have enough cash to complete permitting, which is due in 2018.

I do not recall the specifics but the casino project,
as it is called holds a great amount of gold and copper
and as I recall silver.
I have not read the ihub page that this message board is on
and it probably gives the fundamentals of this company.

I will read it now to see how it coincides with what I have
found out about this mining co. threw Casey research.

He recommended NAK but I got burned on that because of the
large activist hedge fund jockey shorting it when it got above
3.50. I bought in about 3.00
These environmental nut jobs will do anything to stop the huge
NAK pebble project in Alaska. The largest gold reserve in Alaska.
Other metals also including silver. They have not been approved yet
by the EPA to proceed with the project but that could all change
with the new administration. It is around 1.60 now and still being
shorted but not moving much either way.

I am already invested in this stock (WRN) and will use a stop loss
if I have to or the gold market drops.
Other wise if it continues on the course it is going I will keep
adding.

Do not mind my terminology because I am new to day trading.

I know a lot of statements on this page are forward
looking but I believe this was the stock suggested
by a top newsletter on gold stocks.

The Casino project has known large gold and copper
reserves located about 30 miles from the Alaska border
in the northwest territory of Canada.
