RESULT OF GENERAL MEETING HELD ON 3 MARCH 2016

General Meeting

Further to the proposals for the reconstruction and winding up of Baronsmead VCT 4 plc (the "Company") which were announced on 26 January 2016, at a general meeting of the Company's shareholders held today, the special resolution approving the proposals was passed.

It should be noted that the scheme for the reconstruction and winding up of the Company under section 110 of the Insolvency Act 1986 (the "Scheme") remains conditional on, amongst other conditions, the passing of the special resolution to be proposed at the second general meeting of the Company's shareholders convened for 11 March 2016. The Scheme will not become effective unless these resolutions are passed.

A copy of the resolution passed at the General Meeting will shortly be available for inspection via the National Storage Mechanism.

The proxy votes cast on the resolution were as follows:

   Votes "For*":                 13,518,093 
   Votes "Against":            43,602 
   Votes "Withheld":          13,073 
   *      the votes "For" include those votes giving the Chairman discretion.

Suspension of Listing

It is expected that the listing of the Ordinary Shares will be suspended at 7.30 a.m. on 11 March 2016.
