Cambridge, UK - 8 October 2008 - nCipher plc (LSE:NCH) (the "Company") gives
notification today of the following changes in the interests of its Directors
and persons discharging managerial responsibility in ordinary shares of 0.527p
each (the "Shares").

On 8 October 2008 certain directors and persons discharging managerial
responsibility were allotted or transferred Shares following the exercise of
share options and the release of conditional awards made under the company's
Long Term Incentive Plan 2006 ("LTIP"). All Shares, except those for Robert
Jeens, Chairman of nCipher plc, have been transferred from the nCipher Employee
Share Option Trust. The release of Shares to Mr Jeens is subject to a further
announcement also made today.

Conditional awards under the LTIP have no exercise price, but are subject to
performance conditions based on nCipher's share price at the end of the vesting
period (referred to as the 'Performance Period'). The Remuneration Committee
decided that awards under the LTIP should be treated as if the Performance
Period had elapsed on the Court Sanction Date (which was 7 October 2008) and
vesting of the LTIP awards has been calculated on the basis that the 'actual
share price' is the offer price of 300 pence per Share.
