                       PRIVATE INVESTORS CAPITAL TRUST plc
                                    ("PICT")


Last year, the Board of PICT proposed that shareholders would have the
opportunity each year to vote for the continuation or otherwise of the Company.
The first such vote would take place this year at the Annual General Meeting.

Following discussions with the Company's shareholders, the Board has concluded
that it will not be recommending that PICT continue in its current form.  The
Board is continuing discussions with its shareholders and will be advising them
of its recommendation regarding the future of the Company shortly.
