Broadcom Inc. (the Issuer, we, us or our), a Delaware corporation, is offering four series of
notes consisting of $875,000,000 aggregate principal amount of its 4.150% senior notes due 2028 (the 2028 Notes), $1,500,000,000 aggregate principal amount of its 4.350% senior notes due 2030 (the 2030 Notes), $875,000,000
aggregate principal amount of its 4.550% senior notes due 2032 (the 2032 Notes) and $1,750,000,000 aggregate principal amount of its 4.800% senior notes due 2034 (the 2034 Notes) (collectively, the Notes).
Each of the 2028 Notes, the 2030 Notes, the 2032 Notes and the 2034 Notes is referred to as a series of Notes.
The 2028 Notes will accrue interest at a rate of 4.150% per year and mature on February 15, 2028. The 2030 Notes will accrue interest at a
rate of 4.350% per year and mature on February 15, 2030. The 2032 Notes will accrue interest at a rate of 4.550% per year and mature on February 15, 2032. The 2034 Notes will accrue interest at a rate of 4.800% per year and mature on October 15,
2034. Interest on the 2028 Notes, the 2030 Notes and the 2032 Notes will be payable semi-annually in arrears on February 15 and August 15 of each year, beginning on February 15, 2025, and interest on the 2034 Notes will be payable semi-annually in
arrears on April 15 and October 15 of each year, beginning on April 15, 2025.
We intend to use the net proceeds from the sale of the
Notes for general corporate purposes and for repayment of debt. See Use of Proceeds.
We may redeem any series of Notes
at our option, in whole or in part, at any time and from time to time, at the redemption prices discussed under the caption Description of the NotesOptional Redemption. If a Change of Control Triggering Event (as
defined herein) occurs, we may be required to repurchase the Notes from holders. See Description of the NotesPurchase of Notes upon a Change of Control Triggering Event.
The Notes will be our unsecured and unsubordinated obligations and will rank equally in right of payment with all of our other unsecured and
unsubordinated obligations. The Notes will be effectively subordinated in right of payment to any of our existing and future secured indebtedness to the extent of the assets securing such indebtedness. The Notes will not be guaranteed by any of our
subsidiaries and will therefore be structurally subordinated to the indebtedness and other liabilities of our subsidiaries.
The Notes
will be issued in minimum denominations of $2,000 and integral multiples of $1,000 in excess thereof.
