Cronos Group Inc. (the “Company”) is filing this Form 8-K/A as an amendment to the Current Report on Form 8-K filed by the Company with the U.S. Securities and Exchange Commission (the “SEC”) on June 21, 2024.
Item 5.07.    Submission of Matters to a Vote of Security Holders.
On July 19, 2024, the Company reconvened its 2024 Annual Meeting of Shareholders (the “Meeting”), which was adjourned on June 20, 2024. The proposal voted upon at the reconvened Meeting and the final results of the shareholder vote on the proposal are set forth below. The proposal is summarized in greater detail in the Company’s definitive proxy statement on Schedule 14A filed with the SEC on April 26, 2024, as supplemented by the Company’s supplement to the definitive proxy statement on Schedule 14A filed with the SEC on July 5, 2024.
Proposal No. 3: Appointment of Davidson & Company LLP, the Company’s independent registered public accounting firm, to serve as the Company’s independent auditor for fiscal year 2024 and to authorize the Board of Directors of the Company to fix the independent auditors’ remuneration
