Item 8.01 Other Events.
FTAC Emerald Acquisition Corp. (“we,”
“us” or the “Company”) has announced that on March 16, 2023, the Company entered into a non-binding letter of
intent with respect to a business combination. As a result, pursuant to the Company’s second amended and restated certificate of
incorporation, the date by which the Company must cease operations and liquidate if it has not completed a business combination has been
automatically extended from June 20, 2023 to September 20, 2023.
