Change in Registrants Certifying Accountant.

(a) Dismissal of independent registered public accounting firm
On June 24, 2021, the audit committee of the Board approved the engagement of Ernst & Young LLP (EY) as the
Companys independent registered public accounting firm to audit the Company and its subsidiaries consolidated financial statements as of and for the year ended December 31, 2021. Accordingly, on June 24, 2021, WithumSmith+Brown, PC
(Withum), FTIVs independent registered public accounting firm prior to the Business Combination, was informed that it would be replaced by EY as the Companys independent registered public accounting firm.
The reports of Withum on FTIVs consolidated balance sheet as of December 31, 2020 and the consolidated statements of operations,
changes in stockholders equity and cash flows for the period from January 1, 2019 to December 31, 2020, did not contain an adverse opinion or a disclaimer of opinion, and were not qualified or modified as to uncertainties, audit
scope or accounting principles.
During the period from January 1, 2019 to December 31, 2020 and the subsequent interim period
through June 24, 2021, there were no disagreements between the Company and Withum on any matter of accounting principles or practices, financial disclosure or auditing scope or procedure, which disagreements, if not resolved to the satisfaction
of Withum, would have caused it to make reference to the subject matter of the disagreements in its reports on the Companys financial statements for such period.
During the period from January 1, 2019 to December 31, 2020 and the subsequent interim period through June 24, 2021, there were
no reportable events (as defined in Item 304(a)(1)(v) of Regulation S-K under the Exchange Act).
