Item 2.03

Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

 

Extension of the Termination Date

 

On May 3, 2024, Globalink Investment Inc. (the “Company”) deposited an aggregate of $60,000 (the “Extension Payment”) into the trust account of the Company for its public stockholders, representing $0.0234 per public share, which enables the Company to further extend the period of time it has to consummate its initial business combination by one month (the “Extension”) from May 9, 2024 to June 9, 2024 (the “Termination Date”). The Extension is the eleventh extension since the consummation of the Company’s initial public offering on December 9, 2021, and the sixth of up to twelve extensions permitted under the Amended and Restated Certificate of Incorporation of the Company, as amended, currently in effect.

 

A press release describing the Company’s decision to effect the Extension is attached hereto as Exhibit 99.1.

Globalink Investment Inc. Announces Extension of the Deadline to Complete a Business Combination to June 9, 2024

 

New York, NY – May 6, 2024 — Globalink Investment Inc. (Nasdaq: GLLI, GLLIW, GLLIR, GLLIU) (“Globalink” or the “Company”), a special purpose acquisition company, announced today that on May 3, 2024, it caused to be deposited $60,000 (the “Extension Payment”) into its trust account (the “Trust Account”) with Continental Stock Transfer and Trust Company (“Continental”) to extend the deadline to complete its initial business combination from May 9, 2024 to June 9, 2024. The extension is the eleventh extension since the consummation of the Company’s initial public offering on December 9, 2021, and the sixth of twelve extensions permitted under the Company’s governing documents currently in effect.
