Item 8.01. Other Events.

 

Pre-market on December 4, 2024, Peter Derycz, the Registrant’s former Chief Executive Officer and Chairman, sold 2,000,000 shares of the Registrant’s common stock, representing most of his holdings, to a block of investors. Mr. Derycz’s sale facilitates ownership of more shares of the Registrant’s common stock by a broader group of institutional holders, increases the Registrant’s public float, and removes the overhang of potential extended selling by one holder.
