The Nasdaq Capital Markets Tier has become a cesspool ever since the changes to Rule 15c2-11 came into effect on the OTC.

Nasdaq does not care one bit about money being borrowed or frankly even dilution (even though they are suppose to).

Another Nasdaq CM stock I follow has done 4 reverse splits inside of 2 years totaling 1:2,250,000! … 2.25 MILLION and they have just teed up a fifth one. Worst case of dilution I have ever seen and the stock price is down over 99.99% in that timeframe.

And I have zero doubt Naz will process the fifth reverse split.

As for the “loan” that sounds like what a stinkie pinkie would get…lol….

Today's 6-K shows they just borrowed $1,000,000 and the agreement is they will pay it back by June 30 -- to the tune of $1,400,000 plus interest. YIKES! Who would sign such agreement? It seems that all they do is borrow money. Would any of the above influence NAZ into not allowing another RS?

If the company requests a hearing (which they say they are going to) any delisting will be stayed and all they need to do is a reverse split to get back above $1. Nasdaq bends over backwards to allow companies to stay on CM.

I'm guessing RS is being done to get the share price above a certain level to maintain compliance for listing on NASDAQ.  1 for 5 isn't too bad.  I've seen worse.  Initially I was going to get in on this one.  I really like the technology involved and feel it could create a great deal of value.  Maybe once the RS is done and more details of the merger are released I will get in.  I will be watching.  Good luck!

Who owns the patent?  What we know for sure is that in the deal, if I have this right, HUMBL Pro is what remains in the HUMBL shell.  Everything else went to WSCG... correct?  The new company is bringing in a lot of product and if the SMX deal goes through, they will bring their own set of patents to the table.
