Item 8.01. Other Events.

 

On or about July 11, 2024, Virpax Pharmaceuticals, Inc. (the “Company”) issued an aggregate of 1,975,283 shares of its common stock to investors who exercised warrants previously issued by the Company. In connection with such exercise, the Company received proceeds of approximately $2,666,632. The number of shares of the Company’s common stock outstanding immediately after giving effect to these exercises was 4,813,181.

 

The issuance to investors of the shares of common stock upon exercise of the warrants was registered under a registration statement filed by the Company on Form S-1(File No. 333-278796), which was declared effective on May 14, 2024.
