(“Kaleyra”) issued a press release announcing the acquisition of mGage (“mGage”), a leading global mobile messaging provider, for $215 million (subject to certain customary adjustments). Concurrently with the execution of the merger agreement, the Company entered into PIPE subscription agreements and convertible note subscription agreements, with certain institutional investors.
