RELATED PARTY TRANSACTIONS

Keydata Income VCT 2 plc ("the Company") announces that it has appointed Keydata
Investment Services Limited ("KIS") as promoter to its forthcoming offer for
subscription ("Offer") which will be published later on this month or early
November.

KIS will receive a commission of 5% of the gross amount raised under the Offer,
out of which it will disburse the costs of the Issue. As Stewart Ford, a
director of the Company, is also a director of KIS and a director and
shareholder of KIS's parent company, the appointment of KIS as promoter to the
Offer is a related party transaction under the Listing Rules requiring
shareholder's approval. Accordingly, a circular to shareholders seeking, inter
alia, their consent to the proposed appointment of KIS as promoter to the Offer,
was dispatched to shareholders on 10 October 2005.
