Exercise of Options and Total
Voting Rights
SysGroup plc (AIM:SYS), the
technology partner for delivery and management of cloud, data and
security services to power Artificial Intelligence ("AI") and
Machine Learning ("ML") transformation, announces that it has
received notice from Martin Audcent, former Chief Financial Officer
of the Company, to exercise share options owed to him pursuant to
the 2018 Employee Share Option Plan, amounting to 300,000 ordinary
shares of £0.01 each ("Ordinary Shares") at an exercise price of
£0.01 each ("Options").
To satisfy the exercise of these
Options, 300,000 existing Ordinary Shares will be transferred from
treasury on 19 December 2024 (the "Transfer").
Total Voting
Rights
Following the Transfer, the
Company's issued ordinary share capital remains unchanged at
85,515,091 Ordinary Shares, of which 2,261,394 are held in
treasury. Therefore, the number of Total Voting Rights in the
Company will be 83,253,697, and this figure may be used by
Shareholders as the denominator for the calculations by which they
will determine if they are required to notify their interest in, or
a change to their interest in, the voting rights of the Company
under the FCA's Disclosure Guidance and Transparency
Rules.
