Delaware Code Title 8, Sections 311 and 312, govern the revocation of a corporation's dissolution and the revival of its certificate of incorporation.
Section 311
Allows a corporation to revoke a voluntary dissolution or restore an expired certificate of incorporation
A corporation can revoke a dissolution within three years of the dissolution, or within a longer period if the Court of Chancery directs it
A corporation can restore an expired certificate of incorporation within three years of the expiration, or within a longer period if the Court of Chancery directs it
A majority of the corporation's outstanding stock that is entitled to vote must favor the revocation or restoration
Stockholders can also give written consent to the revocation or restoration without a meeting or vote
Section 312
Allows a corporation to revive a certificate of incorporation that has been forfeited, void, or revived but is now in question
A corporation can revive its certificate of incorporation by complying with the requirements of this section
The corporation's rights, franchises, privileges, and immunities are restored, but so are its duties, debts, and liabilities

In my opinion, should be very solid case, especially from shareholder perspective & other $CLHI related shell decisions by DE SOS past several years. There is a precedence.
It has been a long and volatile road for many involved. We definitely need more clarity on direction and hoping for positive outcome,
